Separation of management functions
While the concentration of management powers is strong in large French companies, we prefer a dual structure of governance, a general management independent of the board and an independent supervision of the management. A Chairman is responsible for coordinating the board of directors and overseeing the activities of the board’s specialized committees. The trend is to multiply the number of these committees: appointments, compensation, strategy, governance, ethics, digital… The Director General is responsible for the operational activities. The accumulation of these functions on one person appears more and more difficult. With the globalization of issues for large groups, assuming all these tasks has obvious human limitations. The concentration of powers on one person is a source of potential risks.
